These Terms of Use (“Terms”) govern your use of the COACH, LLC (“COACH,” “we,” “us,” or “our”) website, application, services, mobile applications, and any other website or online service that COACH operates and that links to these Terms (collectively, the “Services”). These Terms, together with our Privacy Policy (collectively, the “Agreement”), collectively govern your use of our Services. By using our Services, you agree to accept all of the terms in this Agreement.

Please review these Terms carefully before using the Services. We may change these Terms or modify any features of the Services at any time. You accept the Terms by using the Services, and you accept any changes to the Terms by continuing to use the Services after we post the changes.

WE OFFER OUR SERVICES “AS IS” AND WITHOUT ANY WARRANTIES. ALTHOUGH COACH PROFESSIONALS ARE TRAINED MUSCULOSKELETAL EXPERTS, COACH IS NOT A HEALTHCARE PROVIDER AND DOES NOT GIVE MEDICAL ADVICE. THE SERVICES ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY AND TO HELP YOU CONNECT WITH THE MOST APPROPRIATE MEDICAL PROFESSIONAL FOR YOUR NEEDS. THESE SERVICES ARE NOT A REPLACEMENT FOR EVALUATION BY A LICENSED HEALTHCARE PROFESSIONAL AND DO NOT CONSTITUTE PROFESSIONAL HEALTHCARE ADVICE, DIAGNOSIS, TREATMENT, SUGGESTIONS, OR RECOMMENDATIONS. THE COMMUNICATIONS THROUGH THIS SERVICE ARE NOT CONFIDENTIAL AND SHALL NOT BE THE SUBJECT OF ANY PRIVILEGE. COACH IS NOT RESPONSIBLE FOR ANY ACTIONS OR INACTIONS OF ANY USER, INCLUDING PROVIDERS’ COMMUNICATIONS WITH USERS CONCERNING THEIR HEALTH OR MEDICAL CONDITIONS.

No Provider-Patient Relationship

DOCTORS, ATHLETIC TRAINERS, AND OTHER HEALTHCARE PROFESSIONALS USE OUR SERVICES TO SHARE INFORMATION WITH YOU, BUT YOUR USE OF THIS INFORMATION IS NOT A SUBSTITUTE FOR HEALTHCARE SERVICES. NO LICENSED MEDICAL PROFESSIONAL/PATIENT RELATIONSHIP IS CREATED WHEN YOU USE OUR SERVICES. THIS IS TRUE WHETHER THE SERVICES ARE PROVIDED THROUGH OR FACILITATED BY US OR THROUGH COMMUNICATIONS FROM OTHER USERS OF OUR SERVICES WHO MAY BE HEALTHCARE PROFESSIONALS. USERS ARE RESPONSIBLE FOR DETERMINING WHETHER TO SHARE INFORMATION WITH A HEALTHCARE PROFESSIONAL AND WHETHER TO REQUEST TO ESTABLISH A PROVIDER-PATIENT RELATIONSHIP. HEALTHCARE PROFESSIONALS ARE RESPONSIBLE FOR ACCEPTING OR DECLINING SUCH REQUESTS.

Privacy

By using the Services, you consent to our processing your information consistent with our Privacy Policy.

Important Information about Your Use of the Services

COACH does not provide any healthcare provider services. All Providers are independent of COACH and use the Services to communicate with you. Any information or advice received from a Provider comes solely from the Provider. Your interactions with the Providers via the Services are not intended to replace your relationship(s) with your regular healthcare practitioner(s). COACH makes no representations about the training or skill of any Providers using the Services. You are responsible for selecting your Provider. COACH may remove a Provider for any reason, including violation of this Agreement or inappropriate conduct.

Account Enrollment

To access Providers, you must establish an individual user account (“Account”). You agree not to create more than one Account, or create an Account for anyone other than yourself (except for minor children of whom you are a parent/legal guardian). You must provide true, accurate, current, and complete information and keep it updated.

Prohibited Conduct

You may not use the Services in a way that harms us or any third party, violates laws, or interferes with the operations of the Services. Prohibited behaviors include (but are not limited to) false impersonation, transmitting unlawful content, infringing intellectual property, or attempting to breach our systems.

Security Violations and Enforcement

Violations of system or network security may result in liability. We may investigate and refer violations to law enforcement and may suspend or terminate access to the Services at any time.

Payment Authorization

By providing a Payment Method, you authorize COACH to charge applicable fees and taxes. You are responsible for notifying COACH of any changes. COACH may retry failed ACH transactions. Fees may increase at any time

Intellectual Property Rights

All copyrights, trademarks, trade names, and intellectual property within the Services are owned by COACH or its licensors. You may not reproduce, distribute, or exploit any content without permission.

Password Security

You are responsible for your username and password. You must notify us of any potential breaches. We may revoke access at any time.

Website and Third-Party Content

The Services do not constitute medical advice. Always consult a qualified professional. COACH does not endorse or control any third-party content linked from the Services.

Disclaimer of Warranties; Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COACH, ITS AFFILIATES, LICENSORS, OR SUPPLIERS ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SERVICES. YOU AGREE THAT YOUR SOLE REMEDY IS TO CEASE USING THE SERVICES.

Indemnification

You agree to indemnify and hold harmless COACH and its affiliates from any claims or liabilities arising from your use of the Services or violation of these Terms.

Choice of Law and Forum

These Terms are governed by the laws of the State of Missouri. All disputes will be resolved through binding individual arbitration under the American Arbitration Association’s rules. You waive your right to participate in class actions or jury trials.

Miscellaneous

These Terms are the entire agreement between you and COACH. If any part is unenforceable, the remainder will continue in effect. No partnership or agency relationship is created by these Terms. Our failure to enforce any provision does not waive future enforcement.
